Emergency Use Statement for the General Public
In Case of Emergency: If you or a client are experiencing a medical emergency, call 911 or 988 or a healthcare provider immediately. AccessMeCare™ is NOT AN EMERGENCY SITE/SERVICE nor a CRISIS INTERVENTION SITE/SERVICE. It is NOT an emergency management service.
IMPORTANT – READ CAREFULLY: These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User” or “you”) and Heudia Health LLC, together with its partners (“Heudia,” “we,” “us,” or “our”), governing your access to and use of the AccessMeCare™ website, mobile applications, and related services (collectively, the “Platform”). By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you are not authorized to access or use the Platform.
1. Description of Services
Heudia provides a range of care coordination, referral services, health education resources, and communication tools for healthcare providers and Platform users, using data analytics for population health management. The Platform is designed to improve inter-organizational collaboration, facilitate communication between community members, improve access to community resources, and enhance care coordination.
2. Operating Policies
2.1 Governance. AccessMeCare™ is made available to users on behalf of Heudia, which retains final authority and governs its use. This includes organizational participation/access and individual user participation/access, which is voluntary and “at-will,” as well as content controls.
2.2 Community Advisory Board. Heudia may elect to establish an Advisory Board consisting of one or more Community-Based Organization Partners (“CBOPs”). The composition of the Board and its meeting schedule is set by Heudia. When established, CBOPs are expected to engage in ongoing discussion based on their experience of the community problems being addressed, the causes of those problems, and the reasons they persist. All participating CBOPs are expected to (1) respect the values, perspectives, contributions, and confidentiality of all involved, and (2) sign a Participation Agreement (MOU) affirming their commitment to the success of this initiative.
2.3 Community Content Management. Community content created by participating organizations through their respective organizational administrators, program administrators, and/or event administrators shall be reviewed and approved by Heudia's designated Community Administrator before publication to the Platform.
3. User Accounts and Responsibilities
3.1 Eligibility. You must be at least 18 years of age to create an account and use the Platform. By creating an account, you represent and warrant that you are 18 years of age or older. If you are a parent, guardian, family member, or caregiver seeking resources on behalf of a minor, you may use the Platform's public-facing resource navigation features without creating an account; however, accounts and personalized care coordination features are intended for adult users only.
3.2 Account Creation. You may be required to create an account to access certain features of the Platform. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.
3.3 Account Security. You are solely responsible for maintaining the confidentiality of your account credentials, including your username and password. You agree not to share your account credentials with any third party. You are responsible for all activities that occur under your account, whether or not you authorized them. If you suspect any unauthorized use of your account, you must notify Heudia immediately.
3.4 User Conduct. You agree not to use the Platform for any unlawful or unauthorized purpose. You agree not to:
- Violate any applicable laws or regulations.
- Impersonate any person or entity or falsely state or misrepresent your affiliation with a person or entity.
- Interfere with or disrupt the operation of the Platform.
- Attempt to gain unauthorized access to any portion of the Platform or any other systems or networks connected to the Platform.
- Upload or transmit any viruses, malware, or other harmful code.
- Collect or harvest any personally identifiable information from other users without their consent.
4. Participation Policies
4.1 General. To become a member and access areas within the Platform typically reserved for members, an individual must be (a) 18 years of age at the time of joining, or a parent or legal guardian acting for an individual under 18, or (b) a guest with legitimate, non-commercial reasons to participate in the community who agrees to respect the privacy and preserve the dignity of all community participants.
4.2 Organization Eligibility. Inclusion in the Platform is based on (1) invitation and/or (2) meeting the Platform's participation criteria. The decision is informed by the Community Advisory Board but rests at the sole discretion of Heudia. In general, only non-profit, government, and quasi-governmental organizations in good community standing that serve a health, social service, or education need within the health system's catchment area will be invited to participate. In certain cases, for-profit businesses may be invited to participate if they demonstrate a special interest in addressing the health, social service, and educational needs of the community. To remain eligible and continue to participate, organizations must make a good-faith effort to:
- Actively participate and collaborate on the Platform.
- Maintain accurate organizational and program profiles that clearly describe services.
- Strive to deliver services with respect, quality, and cultural sensitivity to those in need.
4.3 Community Guidelines. Organizations must agree to comply with posted guidelines and sign the Memorandum of Understanding.
4.4 Individual Eligibility. All individuals are eligible to freely participate in the Platform unless they (a) post inappropriate or inaccurate content, (b) misrepresent themselves, or (c) use the Platform for unlawful purposes or cyberbullying.
4.5 Member Password and Login Identity. Members are responsible for maintaining the confidentiality of their password and login information and are fully responsible for all activity that occurs under their password or account, with or without the member's knowledge. Individuals who knowingly provide their login and password information to another person may have their membership privileges suspended or terminated.
4.6 Interference with Operation of Site. Members may not use robots, spiders, scrapers, or other automated tools to access the Platform or insert content. Members may not add content containing viruses, Trojan horses, worms, time bombs, spiders, or other code intended to harm another member. Members shall not attempt to make the Platform unavailable through denial-of-service attacks, and may not use contact information provided by other members to send unsolicited communications (such as spam) or allow others to use their membership account for such purposes.
5. Legal Policies
5.1 Medical Advice. AccessMeCare™ does not provide medical advice. All materials provided on the Platform are for informational purposes only. Some information offered on the Platform may be presented through forums and group postings; this is informational and is not for treatment or prescriptive use. Materials on the Platform are not a substitute for professional medical advice or treatment.
THE PLATFORM IS NOT AN EMERGENCY SITE/SERVICE NOR A CRISIS INTERVENTION SITE/SERVICE. Users and organizations are not authorized to use the Platform or display content that might suggest the Platform is an emergency resource; it is not. Users who believe they may have a medical emergency must be advised to call their doctor or 911 immediately and not use the Platform for immediate emergency needs.
5.2 Privacy Policy. Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference and available at accessmecare.com/privacy. The Privacy Policy describes how we collect, use, store, and share personal information, including any information submitted through the Platform, and describes your privacy rights.
5.3 Responsibility for Content. Information expressed within a participating organization's Platform profile is that of the organization and is not necessarily attested to by Heudia or any of its Community Partners. Any content or other information within a provider's profile is viewed and used at your own risk. Although Heudia and its Community Partners make every effort to verify the integrity of published data, they do not guarantee the reliability of any information posted on the Platform. All users assume full responsibility for their use of the Platform and understand and agree that neither Heudia nor any of its Community Partners is responsible or liable for any claim, loss, or damage resulting from that use. All users agree to use the Platform on an “AS IS” and “AS AVAILABLE” basis.
5.4 Non-Commercial Use. Unless otherwise authorized in writing by Heudia, participating organizations shall not use the Platform in conjunction with a commercial intent. Participating organizations with commercial interests may not solicit or overly promote their products and services within the content capabilities of the Platform. “Overly promote” includes, without limitation: repeated posts featuring pricing, discounts, or sales language; content whose primary purpose is to drive traffic to a commercial storefront rather than to inform the community of a service; and paid or sponsored content that is not clearly labeled as such. Organizations may describe their programs, services, hours of operation, and eligibility criteria without restriction.
5.5 Links to Other Websites. The Platform may contain links to other websites, which are not under the control of Heudia or any of its Community Partners. The inclusion of any link does not imply endorsement. Heudia and its Community Partners are not responsible for the content of linked sites.
6. Content Policies
6.1 General. Participants shall not post or upload any information or other content on the Platform that (a) is false, inaccurate, or misleading; (b) is obscene or indecent; (c) infringes any copyright, patent, trademark, trade secret, or other proprietary right, or the rights of publicity or privacy of any party; or (d) is defamatory, libelous, threatening, abusive, hateful, or contains offensive sexual content. Participants shall not interfere with other members' use and enjoyment of the Platform — for example, by harassing, threatening, soliciting, overly promoting personal interests, or stalking another participant in a chat room, forum, seminar, or threaded message, including through expressions of bigotry, racism, hatred, or profanity. Participants may not use the Platform to conduct any illegal activity or violate the rights of others, provide instructional information about illegal activities, or promote physical harm or injury against any group or individual.
In addition, postings must (a) be accurate, where they state facts; (b) be genuinely held, where they state opinions; and (c) be relevant.
All members represent and warrant that the information they provide when registering, and all information they subsequently provide regarding themselves and their membership, is true, accurate, and not misleading.
Heudia reserves the right, in its sole discretion, to reject or remove any posting — including private messages, third-party content, and any other postings — or to deny, restrict, suspend, or terminate access to all or any part of the Platform. Heudia reserves the right, at its discretion, to take action it deems appropriate in response to a breach of these content standards once it has occurred. Failure to comply with these rules may result in any or all of the following: (a) immediate, temporary, or permanent withdrawal of your rights to use the Platform; (b) immediate, temporary, or permanent removal of any postings already in use; (c) issuance of a warning; (d) further legal action against the offending individual and/or organization; or (e) disclosure of such information to law enforcement authorities as Heudia reasonably believes necessary or as required by law.
6.2 Providers and Professional Members. All participating organizations, and professionals associated with those organizations, may post event information and highlight services available to other members on the Platform. Participating organizations may promote their own events, initiatives, services, transportation, and hours of operation, but may not solicit donations. Participating organizations and professionals may post on their profiles, and through private messages to members subscribed to their profiles, notices of educational events, fundraising events, or volunteer initiatives.
6.3 Information Accuracy. Outdated or incorrect information significantly reduces the utility of the Platform. All participants are expected to maintain accurate information and make timely corrections in the event of an oversight or inaccuracy.
6.4 Inappropriate Content. Inappropriate content is any content that would be unacceptable or offensive to others. Disparaging, degrading, and offensive content will not be tolerated at any level. The right to determine what content is inappropriate, disparaging, degrading, or offensive is retained solely by Heudia. Inappropriate content generally includes, but is not limited to, the following:
- Foul, hateful, rude, violent, intimidating, or otherwise unkind language.
- Obscene, distasteful, or lewd displays or descriptions of sex or sexual acts.
- Violence, or acts of cruelty or degradation involving any human or animal.
- Hateful and/or mocking use of language, symbols, or images that disgrace others.
- Extreme, dangerous, or illegal behavior.
6.5 Inappropriate Web Links. Links to websites containing offensive or unacceptable material — such as foul language, inappropriate images (violent or lewd sexual imagery), or racial vilification (hate sites) — are considered inappropriate and completely unacceptable. If, in the context of a post or profile, an organization must include a link to a website containing a justifiable amount of such material for educational purposes, the post must include a note stating that the link contains such material. Posts made without such a warning will be removed without prior notice.
6.6 Copyright Compliance. All content uploaded to the Platform must comply with U.S. copyright law. If you believe content on the Platform infringes your copyright, you may submit a notice to [insert designated copyright agent/email] that includes: (a) a description of the copyrighted work claimed to be infringed; (b) the location (URL) of the allegedly infringing material on the Platform; (c) your contact information; (d) a statement that you have a good-faith belief the use is not authorized by the copyright owner, its agent, or the law; and (e) a statement, made under penalty of perjury, that the notice is accurate and that you are authorized to act on behalf of the copyright owner. Heudia will review valid notices and may remove or disable access to the identified material. A user who believes content was removed in error may submit a counter-notice to the same contact for review.
6.7 Misrepresentation. Individuals who misrepresent, or use the Platform to misrepresent, their identity will forfeit their right to participate in the Platform.
6.8 Policies Related to Functions, Features, and Registration. As a function of the software, Heudia reserves the right to limit access based on a user's registration and activity status. Individual users are not required to register to gain access to the Platform; however, when accessing the Platform as a Guest, certain features, functions, and benefits of membership may not be available. Information required at registration includes, but is not limited to, username, password, email address, first and last name, and zip code. Registered members must also click a check box to accept these Terms, including the legal disclaimer and Privacy Policy, before completing registration.
7. Indemnification
You agree to indemnify, defend, and hold harmless Heudia, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with: (a) your access to or use of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law or the rights of a third party; or (d) any content or information you submit, post, or transmit through the Platform. Heudia reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with Heudia's defense of such claim.
8. Intellectual Property
The Platform and all content included on the Platform, including but not limited to text, graphics, logos, images, software, and trademarks, are the property of Heudia or its licensors and are protected by copyright, trademark, and other intellectual property laws. You may not use any content from the Platform without the prior written consent of Heudia. All logos are protected by copyright law and may not be displayed or used in any manner without express written consent from the organization.
9. Disclaimers and Limitations of Liability
No Professional Advice: The information provided on the Platform is for informational purposes only and does not constitute medical, legal, financial, or other professional advice. You should consult with a qualified professional for any advice related to your specific circumstances.
Accuracy of Information: While Heudia strives to provide accurate and up-to-date information on the Platform, we make no warranties or representations about the accuracy, completeness, or reliability of any information.
Limitation of Liability: To the maximum extent permitted by applicable law, Heudia shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising out of or relating to your use of the Platform, even if Heudia has been advised of the possibility of such damages.
10. Termination
Heudia may terminate your account access to the Platform at any time, with or without cause, with or without notice. You may terminate your account at any time by following the instructions for account termination. Membership rights may be terminated immediately, with or without cause or prior notice. Any of the following may lead to termination of an individual's or organization's membership and use of the Platform: (a) breach or violation of these Terms or other incorporated agreements or guidelines; (b) a request by law enforcement or other government agency; (c) a request by you (self-initiated cancellation); (d) unexpected technical issues or problems; or (e) extended periods of inactivity.
Data Retention and Deletion: Heudia has no obligation to maintain, store, or transfer information or data posted on or uploaded to the Platform following termination. Users may request deletion of their personal information at any time by contacting [insert privacy contact/email], subject to any retention Heudia is required by law to maintain and consistent with the Privacy Policy.
11. Governing Law and Dispute Resolution
These Terms shall be governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms shall be resolved through Delaware's dispute resolution method, including binding arbitration in Delaware.
You agree to resolve any dispute with Heudia on an individual basis and not as part of a class action or other representative proceeding. You waive your right to participate in a class action lawsuit or class-wide arbitration.
12. Miscellaneous Policies
Heudia reserves the right to modify this Agreement at any time and without prior notice. Modifications, revisions, amendments, and additions will be posted on the Platform.
13. Amendments to These Terms
We may revise any of these AccessMeCare™ Terms from time to time. If we make any substantial changes to the Terms, we will post a prominent announcement on the Platform and will post the updated Terms here. Any such changes will be effective upon posting.
